Subscription, Billing & Cancellation

Subscription Services

Azera Technologies Ltd provides services on a subscription basis, unless otherwise agreed in writing. Subscriptions are billed monthly in advance and renew automatically at the end of each billing period.

The scope of services included in each subscription is defined in the agreed service description, proposal, or order confirmation.

Billing & Payment

  • Subscription fees are payable in advance on the agreed billing date

  • Invoices must be settled in accordance with the payment terms stated on the invoice

  • Failure to make payment may result in suspension of services until outstanding amounts are cleared

All fees are exclusive of VAT unless otherwise stated.

Cancellation & Notice Period

Clients may cancel subscription services by providing a minimum of 30 days’ written notice.

Cancellation notice becomes effective 30 days from the date the notice is received, not from the next billing date.

Where subscriptions are billed monthly:

  • If cancellation notice is submitted after a billing date, the current billing period remains payable

  • Services will continue to be provided during the 30-day notice period

  • The subscription will terminate at the end of the notice period

Example:
If a subscription renews on the 1st of the month and cancellation notice is provided on the 2nd, the subscription will remain active and payable until the 2nd of the following month.

Refunds

  • No refunds are provided for services already delivered or partially delivered

  • No partial refunds are issued for unused time within a billing period

  • One-off setup fees, onboarding fees, or implementation costs are non-refundable, unless otherwise agreed in writing

How to Cancel

All cancellation requests must be submitted in writing to:

Verbal requests or informal communications will not be treated as valid cancellation notice.

Changes to Subscription Services

Azera Technologies Ltd reserves the right to amend subscription pricing or service scope with reasonable notice. Any changes will not affect the current billing period and will apply from the next renewal date.

Direct Debit Authorisation

Where payment is made by Direct Debit, the client authorises Azera Technologies Ltd to collect subscription fees automatically in accordance with the agreed billing schedule.

By providing Direct Debit details, the client confirms that:

  • Payments may be collected automatically on the agreed billing date

  • It is the client’s responsibility to ensure sufficient funds are available

  • Failed or rejected payments may result in service suspension until payment is received

Clients will be notified in advance of any changes to the payment amount or billing date, in line with Direct Debit scheme rules.

Failed Payments

If a Direct Debit payment fails:

  • Azera Technologies Ltd may attempt to re-collect payment

  • Services may be temporarily suspended if payment remains outstanding

  • Continued non-payment may result in termination of services in accordance with these terms

Any fees incurred due to failed payments may be passed on to the client where permitted by law.

Public Sector & Local Authority Contracts

Applicability to Public Sector Buyers

Where services are provided to UK public sector bodies, including but not limited to local authorities, NHS organisations, educational institutions, or central government departments, these terms apply unless superseded by a formal contract.

In the event of conflict between these Terms & Conditions and a signed public sector agreement, the terms of the signed agreement shall take precedence.

Compliance & Procurement Alignment

Azera Technologies Ltd delivers services in line with public sector procurement expectations, including:

  • Transparency of pricing and service scope

  • Clear service descriptions and outcomes

  • Secure handling of data in accordance with UK GDPR

  • Audit-ready records where applicable

We support engagement via recognised procurement routes, including but not limited to:

  • Contracts Finder

  • Dynamic Purchasing Systems (DPS)

  • G-Cloud and other Crown Commercial Service frameworks

Termination by Public Sector Bodies

Public sector clients may terminate services in accordance with:

  • The agreed notice period stated in the applicable contract, or

  • The standard 30-day notice period where no alternative termination terms are agreed

Any services delivered prior to termination remain payable.
